Master Software & Services Agreement

These Terms of Service ("Agreement") constitute a legally binding agreement between ICYEREKEZO Digital Innovations Ltd ("Company", "we", "our") and the client, entity, or organization ("Client", "User", "you") accessing or utilizing our software platforms, custom development services, APIs, and maintenance packages.

1. Software Provisioning & Licensing

ICYEREKEZO grants the Client a non-exclusive, non-transferable, revocable license to access and utilize the agreed software applications (including ICYEREKEZO BMS, ICYEREKEZO OMS, Arivo, and custom-developed portals) subject to the terms of your signed proposal, subscription plan, or Statement of Work (SOW).

2. Client Responsibilities & Acceptable Use

The Client agrees to:

• Maintain the confidentiality of administrator and employee login credentials.
• Ensure all operational data entered complies with applicable local laws and regulations in the territory of operation.
• Not reverse-engineer, decompile, or attempt to extract source code from proprietary compiled binaries or SaaS endpoints without express written permission.
• Provide reasonable and timely cooperation for system setup, database migration, and testing.

3. Service Level Agreement (SLA) & Uptime Target

We target a 99.9% availability uptime for cloud-hosted enterprise platforms, excluding scheduled maintenance communicated in advance. For critical operational incidents affecting live billing or factory floor processing, our technical response desk initiates troubleshooting within one (1) business hour.

4. Proprietary Data & Intellectual Property

• Client Data Ownership: The Client retains full, exclusive ownership of all customer data, inventory metrics, financial records, and operational logs uploaded or generated within their software tenant.
• Platform Intellectual Property: All underlying codebase frameworks, algorithmic structures, UI designs, and brand trademarks developed by ICYEREKEZO remain the intellectual property of ICYEREKEZO Digital Innovations Ltd.

5. Invoicing, Fees & Payments

Fees for software licenses, cloud hosting, and custom software engineering are itemized in formal project proposals. Invoices are payable through approved commercial channels (including MTN MoMo corporate merchant, Airtel Money, Visa/Mastercard, or verified domestic/international wire transfer). Late payments beyond the agreed credit period may result in temporary suspension of cloud services after written notice.

6. Limitation of Liability

To the maximum extent permitted by Rwandan commercial law, ICYEREKEZO shall not be held liable for indirect, incidental, or consequential damages resulting from internet service provider downtime, hardware malfunctions on client-owned devices, or third-party telecommunication failures beyond our direct operational control.

7. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Republic of Rwanda. Any disputes arising from the interpretation or performance of this Agreement shall be resolved through good-faith mediation, and if unresolved, submitted to the competent commercial courts of Kigali, Rwanda.
